LEGAL SIDE OF CHANGING REGISTERED OFFICE ADDRESS:

Company registered offices are the places where all business communications are handled. A company can also have corporate offices, branches, factories, or administrative offices in addition to its registered office. It is required for a company to register with the Ministry of Corporate Affairs its registered office, but the company can open other branches and offices without informing the ROC. As with any company, the registered office determines its domicile (state of incorporation). A company's ROC will be determined by where its registered office is located. The ROC must be notified within 30 days of any change in address for a company's registered office.

FEATURES OF REGISTERED OFFICE

  • There should be a match between the name and address on the electricity bill or on the property tax receipt and the NOC certificate provided by the landlord.

CHANGING A REGISTERED OFFICE: TYPES AND PROCEDURES

After some time, a company may wish to change its registered office. The company's registered office must be changed with prior notification. Ministry of Corporate Affairs has provided procedures to change the address of a company.

The types of changes to the registered office address –

  • In the same city/town/village.
  • In the same State and ROC.
  • Other ROC in the same State.
  • From one State to another State.

 

PROCEDURE FOR CHANGING THE REGISTERED OFFICE WITHIN THE SAME CITY

It is very simple to change the registered office within the same city.

  • First, the company must hold a board meeting and pass a resolution regarding the same.
  • Within 30 days of passing the board resolution, the company must file form INC-22 with the MCA.
  • Must attached the utility bill as proof of business address, the NOC from the owner, and the rental agreement if the place is leased.

 

PROCEDURE FOR CHANGING THE REGISTERED OFFICE ADDRESS WITHIN A STATE BUT WITH A DIFFERENT ROC

  • The company should apply for the approval of the Regional Director as prescribed in Form INC-23 if it intends to change its registered office from one ROC to another.
  • Once the Regional Director confirms the change, the ROC must receive the same confirmation within 60 days.
  • A change of address must be confirmed by the ROC within 30 days of filing.

 

PROCEDURE FOR CHANGING THE REGISTERED OFFICE ADDRESS IN THE SAME STATE BUT DIFFERENT ROC

There are two company registrars in large states like Maharashtra and Tamil Nadu. When the address of a company changes, the ROC may also change. Therefore, there are different procedures when such a change occurs. As a result, such changes require a different procedure.

PROCEDURE FOR CHANGING THE REGISTERED OFFICE ADDRESS FROM STATE TO ANOTHER STATE

In order to change the registered office address from one state to another, the MOA of the company must be changed as well.

  • In order to call an extraordinary general meeting, a board meeting must be held and a resolution passed.
  • To change the registered office address as well as to alter the MOA, a special resolution must be passed at the EGM. This resolution must be filed within 30 days with the MCA.
  • An advertisement for the relocation of the office must be published at least 30 days before the date of application to the regional director. In addition to being published in English, it should also be published in vernacular or regional newspapers.
  • Furthermore, a notice should be sent to creditors and debenture holders if any, as well as to other regulatory bodies if they apply.
  • It is necessary to file an application along with the specified documents with the Regional Director for shifting the registered office.
  • Upon receiving an objection, the Central government will hold a hearing and make the necessary orders. The order will be passed without hearing if no objections are received.
  • From the date of the order, the company must file the confirmation received from the RD to the ROCs.

 

The required documents must be submitted with the INC-22 to the ROC within 30 days.
