LEGAL SIDE ON DIN/DPIN KYC

To ensure timely compliances and smooth functioning of the companies, The Ministry of Corporate office has been proactive and introducing more and more compliances to properly regulate and monitor the working of all the companies.

In this regard, a great step is taken towards it and a major amendment has been inserted in the “The Companies (Appointment and qualification if Directors) Rules, 2014” of Rule 12A with a sole purpose to know about the status of the directors of the companies.

On 05.07.2018 vide notification no. G.S.R. 615(E), the concept of the e-form DIR-3 KYC was introduced which came into force on 10th July 2018.

Every Director to whom DIN has been allotted on or before the end of the financial year, and whose DIN status is ‘Approved', is required to file form DIR-3 KYC before 30th September of the immediately next financial year. After the expiry of the respective due dates, the system will mark or show all non-compliant DINs for which the DIR-3 KYC form has not been filed as ‘Deactivated due to non-filing of form DIR-3 KYC'.

  • KYC through Form DIR-3 KYC web

Any DIN holder who has already submitted the eForm DIR-3 KYC in any of the previous financial years and do not have any requirement of updation in any of his KYC details as submitted can do his annual KYC by accessing the Form DIR-3 KYC web.

  • KYC through eForm DIR-3 KYC

Any DIN holder who is filing his KYC details for the first time with MCA is required to file all KYC details through eForm DIR-3 KYC. The option for accessing the web service for KYC is not available to such person.

Furthermore, if any DIN holder who wants to update any information of his KYC details can update the same by filing the eForm DIR-3 KYC.

List of documents required to File DIR 3 KYC Form:

The following list of documents are required to fill form DIR3 KYC-

  • Aadhar card
  • Permanent Account Number(PAN)
  • Proof of address
  • Mobile number and email id
  • Passport( in case of foreign nationals)
  • Driving License
  • Details i.e. Date of birth, gender, citizenship etc.


Apart from the above-mentioned documents, the following things are also required-

  • Attestation of the form by the Practising Professionals such as CA, CS, or Cost Accountants.
  • A declaration by the applicant
  • Digital Signature of the applicant

 

PROCEDURE TO FILE FORM DIR-3 KYC

  • The First and foremost is to login on the MCA portal by using login credentials.
  • Directors must fill in the DIN in the KYC form, whose status is ‘Approved' and Directors whose Din are deactivated because of non-filing of KYC Form, can fill the form only after the prescribed due date by paying the late fees.
  • Furnish or Fill the requisite Details in the DIR- 3 KYC Form.
  • The director enter his PAN number and then click on the ‘Verify income-tax PAN' button. Afterwards, the system will verifies the details of the director on the basis of the PAN number.
  • Enter the Contact Details and Verify OTP.
  • Authentication of e-Form- Directors must ensure that the e-Form is authenticated that means it should be digitally signed by a Chartered Accountant/ Company Secretary or a Cost Accountant.

  • Copy of passport
  • Optional attachments, if any

Consequences of Non-Filing of e-form DIR-3 KYC or web form DIR-3 KYC:

Upon non-filing of the e-form DIR-3 KYC or web form DIR-3 KYC, the DIN of the concerned individual will be deactivated. The individual will not be able to use the DIN till the KYC is completed. The DIN is re-activated only by filing the e-form DIR-3 KYC/web form DIR-3 KYC with the MCA.
