The Registrar of Companies (ROC) is a registry that manages the administration of companies under the Companies Act, 2013 set up by the Ministry of Corporate Affairs.

Every company is required to file the audited financial statements and annual return as per The Companies Act, 2013 within 30 days and 60 days respectively from the date of conclusion of the Annual General Meeting except in case of One Person Company. Section 129 and 137 of The Companies Act, 2013 read with Rule 12 of the Company (Accounts) Rules, 2014 governs the provision of filing of Audited financial statement and annual return is governed under Section 92 of the Companies Act,2013 read with Rule 11 of the Companies (Management and Administration) Rules, 2014.

 ROC E-filing Process on MCA:

  • Download the forms i.e. AOC-4 and MGT-7/7A from the website of MCA under the tab: MCA services menu - Company E-filing - Company Forms Download.
  • Fill out the appropriate E-forms applicable to your company and attach the pdf documents as per the requirement of t
  • he form then Press Check form and Attach the Digital Signature of the Director and Practicing professional and do pre-scrutiny of the form.
  • Get yourself registered on the MCA portal as a Business User or registered user. After getting registered on the MCA portal, log in with your ID and password.
  • After login go to my workspace and click on upload E-forms, then browse the filled and signed form from your system's location.
  • After uploading the form, the system will automatically generate a Service Request Number (SRN) and the option to go to the payment window appears.
  • The users have two options:

    Pay Later and save the generated challan and pay the fees within the due time.

    Pay the fees using internet banking or debit/credit card facility simultaneously and save the payment challan for future reference.

    • After completion of this whole process, the user can track the transaction status of the form through SRN under the MCA services menu and the user will be able to know whether the form is approved or pending for approval.

     

    Procedure for ROC filing

    The procedure for the filing of ROC forms (Annual Return and Audited financial statement) is as follows:

    • Conduct a Board Meeting

    The purpose of conducting a board meeting are as follows:

    • To authorize the auditor to prepare financial statements per Schedule III of the Companies Act, 2013.
    • To authorize the Director or Company Secretary to prepare the Board Report and Annual Return as per the Companies Act, 2013.
    • To conduct another Board Meeting to approve the directors' draft financial statements, Annual returns, and Board reports.
    • To conduct the Annual General Meeting
    • To conduct the Annual General Meeting and pass the requisite resolutions. The financial statements will be considered final only when the same is approved by the shareholders at the General Meeting.
